Abstract Modernization of university governance is the process of strengthening university governance legitimacy by improving university governance effectiveness constantly. It is a process of universities′ continuous construction, and it is also the target of university governance reform. The dilemma of university governance modernization in China is facing the dual crisis of both formal validity and substantial validity, which displays the value shortfall of governance consensus as well as the imperfection of governance structure in the aspect of governance system features, and which displays the vested interest groups and the power elite conspiracy mutually reinforcing as well as the governance anomie behavior having occurred from time to time in the aspect of the governance ability. In order to transcend those dilemmas, the possible path to strengthen the legitimacy of university governance is to cumulate governance effectiveness continuously. Firstly, it is necessary to nurture university faith and improve the effectiveness of strategic objectives. Secondly, it is necessary to construct an effective university chart and improve the effectiveness of the governance system. Thirdly, it is necessary to curb the vested interest groups and improve the governance ability. Fourthly, it is necessary to standardize the governance conducts with procedural justice and morality, and make it beyond the performance dilemma.
