Abstract Rational governing structure is the foundation of University of California, a firstclass university in the world. An analysis of “The Bylaws and the Standing Orders of the Regents of University of California” shows that establishment of its corporate position is the premise for its autonomy and reasonable relationship with government. As an organ of the supreme power of the school, the board of directors is pluralized in its structure with the external stakeholders being its main body and adopts a mode of collective decision making. In exercising the power of the university, it follows the principles of democratic consulting and authority restricting. Meanwhile, University of California emphasizes the autonomy of its grassroot organizations in academic management and safeguards academic freedom through institutional construction, so as to promote the actualization of academic rights and academic development.
