Abstract：Non profit private colleges can not only be positioned as nonprofit legal persons of social service institutions, but also obtain the legal person status of the donation under certain conditions. They face problems in practice, such as conflicts between procedural norms of registration management and legal person attributes in the General Provisions of the Civil Law, the imperfect corporate governance mechanism, the incomplete content of legal persons of the donation, and the confusion between college legal persons and organizers′ legal personality. China should revise laws and regulations, and maintain content coordination and unity; promote legislation and system construction of legal persons of the donation; standardize "legislation" procedures of the legal person constitution, and regulate organizers′ management rights and interests; perfect the corporate governance structure, and ensure the status of colleges as legal entities.
